Terms of Service

These Terms of Service ("Terms") govern your access to and use of KarateShowCase.com (the "Platform"), which is operated by KarateShowCase LLC ("KarateShowCase," "we," "us," or "our") for the management of martial arts competition content, athlete profiles, and coaching resources. By creating an account or using the Platform, you agree to these Terms.

These Terms are read together with our Privacy Policy, our Content & Media Consent Policy and our Waiver of Liability. When you accept them on a Platform form, we keep a record of the version you accepted and when.

1. Acceptance of Terms

By accessing or using the Platform, you confirm that you:

• Are at least 13 years old — creating an account requires confirming this — and, if under 18, have the consent of a parent or legal guardian
• Have legal authority to enter into this agreement
• Agree to comply with all applicable laws and these Terms

If you are a parent or guardian registering on behalf of a minor, you accept these Terms on their behalf and assume responsibility for their use of the Platform.

2. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must provide accurate and current information when creating your account
• You agree to notify us promptly of any unauthorized access to your account

3. Content Ownership

You retain full ownership of all content you upload to the Platform, including videos, photos, coaching notes, and profile information.

By uploading content to the Platform, you grant KarateShowCase a non-exclusive, royalty-free, worldwide license to:

• Host, store, and display your content within the Platform
• Process and transcode content as needed for playback and performance
• Make your content accessible to authorized users within your dojo or team (coaches, administrators), and to a coach from outside your dojo whom KarateShowCase has given access, as our Privacy Policy describes

This license exists solely for the purpose of operating and providing the Platform's services. It terminates when you delete your content or account. Deleted records are removed immediately; the underlying files are destroyed by a scheduled cleanup, typically within 48 hours, and deleted data remains recoverable to us only for the seven days described in our Privacy Policy, counted for a file from when it is destroyed.

4. Acceptable Use

You agree not to:

• Upload content that you do not have the right to share
• Upload copyrighted material without the copyright holder's permission
• Post content that is illegal, threatening, abusive, harassing, defamatory, or obscene
• Upload content depicting violence outside the context of sanctioned martial arts competition
• Use the Platform to stalk, bully, or harass any individual
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Platform for any commercial purpose not authorized by KarateShowCase
• Interfere with the Platform's operation or security

5. Content Moderation

KarateShowCase reserves the right to:

• Review any content uploaded to the Platform
• Remove or disable access to content that violates these Terms, at our sole discretion
• Remove content that is reported by users and found to be in violation
• Take action without prior notice in urgent cases (illegal content, safety concerns)

We are not obligated to monitor all content but reserve the right to do so.

6. Account Termination

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your account is involved in abusive, fraudulent, or illegal activity
• You request account deletion
• Your account has been inactive for an extended period (with prior notice)

You may delete your account yourself at any time from My Account → Delete account — deletion runs immediately behind a typed confirmation — or by contacting info@KarateShowCase.com, and we will run the same deletion for you after verifying the request. An account that owns a dojo must transfer ownership first, so a team is never orphaned by accident. Upon termination, your content is removed in accordance with our Privacy Policy: your records are deleted, and coaching notes you wrote on teammates' videos are anonymized rather than deleted, so an athlete's coaching record stays whole.

7. Dojo Subscriptions & Fees

This section applies to a dojo (a martial-arts school or team) that subscribes to KarateShowCase to run its own team space. It does not apply to individual members, parents or athletes, who are never charged by KarateShowCase.

What a dojo pays

• The first 30 days of the subscription are included at no additional charge. Nothing is charged when you sign up.
• After that, a monthly subscription at the price shown to you on your onboarding checkout before you pay.

There is no setup or onboarding charge.

What the price depends on, and what it does not. The monthly price is set by the number of active students on the dojo's roster, in bands: $99 a month up to 50 active students, $149 for 51–100, $199 for 101–200 and $249 for 201–400. A dojo above 400 active students, or running several locations, is priced by agreement. Parents, guardians, coaches, administrators and enquiries from prospective families are not active students: they are never counted and never charged for. Every band receives the same platform — the band determines the price, not the features available to the dojo.

KarateShowCase takes no percentage of what a dojo collects. Where the Platform is used to collect tuition or other payments from a dojo's families, that money is collected into the dojo's own payment-provider account and KarateShowCase takes no share, commission or application fee from it. The payment provider's own processing costs are charged to the dojo by that provider, at the provider's published rates, and are not KarateShowCase's charges. The subscription described above is the whole of what a dojo pays KarateShowCase.

Refunds, where they arise, are handled by KarateShowCase directly and are not automated.

Cancelling the monthly subscription

• You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, and your team space continues to work normally until then.
• If you cancel during the included first 30 days, the monthly subscription does not begin. Your team space continues to work until the end of that period.
• We do not pro-rate or refund part of a month you have already paid for, because you keep the service for all of it.

If a payment fails

If a subscription payment fails, your team space continues to work for 14 days while you update your payment details. After that, paid features are unavailable until payment succeeds. Your data is not deleted, and access is restored when payment is received.

Payments and card details

Payments are processed by our payment provider. Card details are entered on the provider's own secure pages and are never collected, transmitted or stored by KarateShowCase.

Exceptional cases

The cancellation terms above describe an ordinary, voluntary cancellation by a dojo. They do not apply where:

• a payment is disputed or reversed, in which case paid features are suspended immediately while we resolve it with you;
• an account is suspended under Account Termination above, for violation of these Terms or for abusive, fraudulent or illegal activity;
• we are required to act by law.

In each of those cases your data is preserved and the situation is resolved directly with you.

8. Dojo Responsibilities & Legal Compliance

This section applies to each dojo that uses the Platform to run its team space, and to the owners, administrators and staff who act for it.

• Compliance is the dojo’s. Each dojo is solely responsible for complying with all federal, state, local and other laws, regulations, codes, licensing requirements, tax obligations, employment requirements, consumer-protection rules, privacy requirements, media and photography permissions, waiver and policy requirements, and any other requirements that apply to the dojo and its activities.
• The dojo’s documents and practices are its own. Each dojo is responsible for reviewing, configuring and maintaining its own waivers, forms, disclosures, policies, prices, taxes, memberships and business practices, including any wording that began from a starting point we supplied.
• Templates are optional starting points. KarateShowCase may offer optional waiver templates, starter wording, sample documents and example forms, which a dojo may use, customize or replace. We do not guarantee or certify any template, or represent that it is suitable for every dojo or every place a dojo operates. Each dojo decides whether to use one, reviews and customizes it for its own operations, and is responsible for the final document it publishes or uses.
• Our features are tools. Templates, starter wording, examples, forms, automation and other Platform features are tools only. Providing them does not transfer responsibility for a dojo’s waivers, policies, operations or legal compliance to KarateShowCase.
• No professional advice. KarateShowCase does not provide legal, tax, insurance, accounting, regulatory or other professional compliance advice. Nothing on the Platform is a statement that a document, setting or practice is complete, suitable or enforceable where a dojo operates, and whether to seek professional advice is the dojo’s own decision.
• Sales to families. When a family pays a dojo through the Platform, the payment is made to the dojo on the dojo’s own payment account and the dojo is the seller. The dojo sets its own prices and is responsible for its refunds and for any taxes on those sales.
• Text messages. A dojo that uses text messages sends its texts in its own name and is registered with the mobile carriers as their sender. It texts a number only to reply when that number has texted it, or when someone has asked in their account to receive its texts at that number, and only about what was asked for. It asks for agreement only through the Platform, never makes agreeing a condition of joining, does not use texts for offers or other marketing, honors every request to stop, and sends nothing by text that the law or the mobile carriers’ rules prohibit.

To the extent permitted by law, KarateShowCase is not responsible for losses, claims, penalties, disputes or other consequences caused by a dojo’s failure to comply with the requirements that apply to it. Sections 10 and 11 also apply.

9. Availability & Uptime

The Platform is provided on an "as is" and "as available" basis. We do not guarantee:

• Uninterrupted or error-free access to the Platform
• That the Platform will meet all of your specific requirements
• The accuracy, completeness, or timeliness of any content
• That data will never be lost (though we take reasonable precautions)

We may perform maintenance, updates, or changes that temporarily affect availability. We will make reasonable efforts to provide notice when possible.

10. Limitation of Liability

To the fullest extent permitted by law:

• KarateShowCase and its owners, employees and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• This includes, but is not limited to, loss of data, loss of revenue, or interruption of service
• Our total liability for any claim arising from your use of the Platform shall not exceed the amount you have paid us in the 12 months preceding the claim (if any)

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless KarateShowCase and its owners, employees and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Content you upload or share
• Your violation of these Terms
• Your violation of any third party's rights
• If you act for a dojo: the dojo's documents, forms and policies, its text messages, its sales to families, and its compliance with the laws that apply to it (Section 8)

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes will be resolved in accordance with applicable federal and state law.

13. Text Messages

A dojo that uses the Platform can text its members, parents and guardians, and KarateShowCase can text the members of its own team space, as our Privacy Policy describes. These terms apply to those texts.

• The texts. A dojo texts about its classes, schedule changes and cancellations, events and tournaments, and your membership, and replies to texts you send it for 24 hours after your last one. Each dojo sends its texts in its own name, and KarateShowCase sends its own in its name.
• Your agreement. You agree to receive texts in your account, by entering your mobile number, ticking the box and entering the code we text to that number. By agreeing, you confirm that the number is yours or that you may agree for it. KarateShowCase never makes agreeing a condition of using the Platform, and requires each dojo not to make it a condition of joining (Section 8).
• Frequency and cost. Message frequency varies. Message and data rates may apply.
• STOP and HELP. Reply STOP to any text to stop texts from that sender, and START to receive them again. You can also turn texts off, and back on, in your account. Reply HELP for help, or contact your dojo or info@KarateShowCase.com.
• Delivery. Mobile carriers are not liable for delayed or undelivered messages, and we cannot guarantee that every text arrives.

14. Changes to Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on the Platform and change the "Last Updated" date above, which is the date the current version took effect. If a change is material, we may also let you know on the Platform or by email, at our discretion. Please review these Terms periodically. Your continued use of the Platform after an updated version takes effect constitutes acceptance of the updated Terms.
